User Agreement (FTay Consulting Sdn. Bhd.)

Article 1: Scope and Definitions

These terms govern all use of the FTay Consulting Sdn. Bhd. website (“Site”) and all transactions concluded through it. In this Agreement:

• User: Any individual or legal entity that visits, browses, or uses the Site, including both Clients and Visitors.
• Client: A User who places and validates an order for Products or Services via our secure payment platform.
• Visitor: A User who browses the Site without placing an order.
• Products: Digital courses, mentoring programs, downloads, and other digital goods offered on the Site.
• Services: Coaching sessions, workshops, seminars, and any other non-digital offerings provided via the Site.

Article 2: Website Use and Acceptable Conduct

Users agree to use the Site only for lawful purposes. By accessing or using our Site, you agree not to:

• Violate any applicable laws or regulations.
• Post, upload, or transmit defamatory, obscene, abusive, hateful, or otherwise objectionable content.
• Send unsolicited promotions, advertisements, or spam.
• Attempt unauthorized access to our systems or those of other users.
• Interfere with Site operation, including uploading malicious code or overloading servers.
• Harvest or collect personal data of other users without consent.

Permitted use includes browsing, purchasing Products, and consuming content. Reporting of security vulnerabilities to info@felixtay.com is appreciated. Violations may result in suspension, removal of content, or legal action.

Article 3: Age Limit

Clients must be at least 16 years old to purchase Products and at least 18 years old to enroll in Services. We reserve the right to verify age; orders by underage Users will be canceled and refunded, and access revoked.

Article 4: Order

By placing an order, the Client fully and unreservedly accepts this Agreement.

Article 5: Price and Taxes

Unless otherwise indicated, all prices are quoted in United States Dollars (USD) and exclusive of any applicable taxes. Any required taxes will be added at checkout. No shipping or handling fees apply to digital Products. We reserve the right to update prices at any time; the price charged is the one displayed at order placement.

Article 6: Payment

Payment is due immediately upon ordering. We accept Visa and Mastercard only. All transactions are processed securely via Stripe using industry-standard encryption. We do not accept American Express, cash, or checks.

Article 7: Delivery and Access

Access to digital Products and content is granted immediately after successful payment. An email with access instructions will be sent to the Client. No physical delivery applies.

Article 8: Protection of Personal Data

We comply with Malaysia’s Personal Data Protection Act 2010. Users may access, correct, or delete their personal data. By subscribing, you consent to our data practices as described in our Privacy Policy. You may unsubscribe via the link in our emails or by contacting info@felixtay.com.

Article 9: Company Information

FTay Consulting Sdn. Bhd. is incorporated under the laws of Malaysia, with its registered office at:

Article 10: Governing Law

This Agreement and all transactions arising from it are governed by and construed under the laws of Malaysia.

Article 11: Refund and Cancellation

FTay Consulting Sdn. Bhd. maintains a strict no-refund policy.

Article 12: Limitation of Liability

Our total liability under or in connection with this Agreement shall not exceed the amount paid by the Client for the relevant Product or Service. In no event will we be liable for indirect, incidental, special, or consequential damages.

Article 13: Intellectual Property Rights

All content and materials on the Site remain our exclusive intellectual property. Users are granted a personal, non-exclusive, non-transferable license to access and use them for personal or internal business purposes only. Unauthorized reproduction, distribution, or modification is prohibited.

Article 14: Force Majeure

We shall not be liable for any delay or failure in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, government actions, or internet outages. Performance times will be extended accordingly.

Article 15: Modification of Terms

We reserve the right to modify this Agreement at any time. Significant changes will be notified by email or via a notice on the Site. Continued use after changes constitutes acceptance.

Article 16: Severability and Entire Agreement

If any provision is held invalid or unenforceable, the remaining provisions remain in full force. This Agreement, together with any documents expressly referred to herein, constitutes the entire agreement between the parties.

Article 17: Dispute Resolution

Disputes shall first be attempted to be resolved through good-faith mediation in Kuala Lumpur, Malaysia. If unresolved within 30 days, they will be submitted to arbitration under the Rules of the Asian International Arbitration Centre (AIAC), seat Kuala Lumpur, in English.
